Noreo Labs operates as an institutional laboratory-materials supplier.

Unless a product is expressly identified by us as being authorized for another lawful purpose, products sold through the Site are offered only for legitimate, lawful research, analytical, educational or laboratory purposes, as applicable to the particular product.

Products are not represented, marketed or sold by Noreo Labs as medicines, therapies, dietary supplements, cosmetics, medical devices, or products intended to diagnose, cure, prevent or mitigate any disease or medical condition, unless expressly authorized and identified as such in accordance with applicable Canadian law.

Noreo Labs does not provide medical, veterinary, pharmaceutical or clinical advice.

You must not purchase, use, possess, distribute, resell, or otherwise handle any product contrary to applicable Canadian law, applicable regulatory requirements, the product's stated intended use, or these Terms.

You are solely responsible for ensuring that your intended use of a product is lawful.

You must be at least 19 years of age to access the Site or purchase products from Noreo Labs. Purchases are limited to qualified research institutions, laboratories, and authorized procurement contacts acting for those institutions. Individual consumer accounts are not accepted.

By placing an order, you represent and warrant that:

1. you are at least 19 years old;
2. you are legally capable of entering into a binding agreement;
3. you are located in Canada;
4. you are acting for a qualified research institution or laboratory, and not as an individual consumer;
5. the information you provide is accurate and complete;
6. you will use purchased products only for lawful laboratory research, analytical, educational or other lawful laboratory purposes;
7. you will comply with all applicable federal, provincial and municipal laws and regulations;
8. you will not use products for human or veterinary administration unless the specific product is expressly authorized and sold for that purpose in accordance with applicable law; and
9. you will not purchase products on behalf of, or for the benefit of, a person or organization that does not satisfy these requirements.

Noreo Labs may request additional information reasonably necessary to verify age, identity, institutional status, intended lawful use, order information or compliance requirements.

We may refuse, cancel or suspend an order where we reasonably believe that the eligibility requirements have not been satisfied.

Before catalogue access or checkout, you may be required to actively acknowledge a disclaimer confirming, among other things, that:

• you are at least 19 years old;
• you are located in Canada;
• you are acting for a qualified research institution or laboratory;
• you understand the applicable product's stated intended use;
• you will not use the product for an unlawful purpose;
• you will not use research products for human or veterinary administration;
• Noreo Labs does not provide medical advice; and
• you agree to these Terms.

Checking an acknowledgment box, completing the institutional gate, or otherwise confirming the statements constitutes an electronic acknowledgment and forms part of the order and access record.

You must not complete the acknowledgment on behalf of another person except as an authorized procurement contact for a verified institution.

You agree to use all products and information obtained through Noreo Labs only in compliance with applicable law.

You must not:

• administer products to yourself or another person where such administration is not legally authorized;
• administer products to animals where such administration is not legally authorized;
• use products as prescription drugs;
• represent Noreo Labs products as approved medicines;
• make medical or therapeutic claims about Noreo Labs products;
• alter, relabel or misrepresent Noreo Labs products;
• remove lot numbers, product identifiers or safety information;
• resell products in violation of applicable law;
• use Noreo Labs products in connection with unlawful manufacturing or distribution;
• use products for fraudulent purposes;
• circumvent applicable regulatory restrictions; or
• assist another person in violating these Terms or applicable law.

Noreo Labs reserves the right to refuse transactions where we reasonably believe a proposed purchase may involve unlawful activity.

Noreo Labs intends to operate in accordance with applicable Canadian laws and regulatory requirements.

Nothing in these Terms constitutes a representation that every product available through the Site is authorized for every possible use, application or jurisdiction.

Product availability may vary depending on applicable law, regulatory requirements, product status, location, intended use or other circumstances.

Noreo Labs may discontinue, restrict, modify or remove a product or product category at any time where reasonably necessary to comply with applicable law or regulatory requirements.

Purchasers are responsible for determining whether their intended research or other lawful laboratory use complies with applicable requirements.

Nothing on the Site should be interpreted as legal, medical, pharmaceutical, veterinary or regulatory advice.

Noreo Labs makes reasonable efforts to provide accurate information concerning products, including descriptions, specifications, photographs, quantities, analytical information and other characteristics.

However:

• photographs may differ slightly from the actual product;
• packaging may change;
• labels may be updated;
• product specifications may change;
• information may contain typographical or technical errors;
• availability may change without notice; and
• third-party information may be subject to correction or updating.

Noreo Labs reserves the right to correct errors and update product information at any time.

Noreo Labs may subject products or batches to independent analytical testing.

Testing may include, depending on the product and applicable quality program:

• HPLC analysis;
• LC-MS or mass-spectrometry analysis;
• identity testing;
• purity testing;
• quantity/content analysis; and
• other analytical testing considered appropriate.

Where available, applicable batch documentation may be made accessible through a Noreo Labs verification system, including QR-code or lot-number verification.

A certificate of analysis ("COA") or analytical report represents the results of the specific sample and batch tested by the applicable laboratory at the time of testing.

Analytical testing does not constitute:

• Health Canada approval;
• a Drug Identification Number ("DIN");
• pharmaceutical approval;
• medical authorization;
• a guarantee of suitability for human administration;
• a guarantee of suitability for veterinary administration;
• a guarantee that a product is sterile;
• a guarantee that a product is free of every possible contaminant;
• medical advice; or
• authorization for any particular use.

Purchasers must not interpret a COA as evidence that a product is suitable for human or veterinary use.

Noreo Labs may use independent laboratories and may change testing providers, testing methodologies or testing frequency as part of its quality-control program.

Where Noreo Labs provides batch verification, purchasers may use the applicable lot number, QR code or other verification mechanism to access available documentation.

Purchasers must not modify, reproduce or manipulate batch documentation in a manner that could misrepresent the identity, origin, testing status or characteristics of a product.

If you believe that a lot number, QR code, COA or other quality document appears inconsistent or invalid, contact Noreo Labs before using or further handling the product.

Noreo Labs does not provide medical advice.

Information appearing on the Site, including scientific information, research summaries, product descriptions, educational articles, references, links or analytical information, is provided for informational or research purposes only.

Nothing on the Site should be interpreted as:

• a medical diagnosis;
• medical advice of any kind;
• a recommendation to use a product to address a medical condition;
• a recommendation to alter medication;
• a recommendation to administer a product;
• a physician-patient relationship; or
• professional medical or veterinary advice.

You should consult an appropriately licensed healthcare or veterinary professional for medical or veterinary questions.

Purchasers are responsible for reviewing all product information, handling requirements, storage requirements and applicable laboratory safety procedures before using a product in lawful research.

Noreo Labs does not guarantee that a product is appropriate for a particular research protocol, experiment, laboratory environment or application.

Purchasers must use appropriate laboratory procedures, personal protective equipment, containment procedures and waste-disposal procedures as required by the nature of their research.

Placing an order constitutes an offer by the purchaser to purchase the selected products subject to these Terms.

An order is not necessarily accepted merely because:

• an order confirmation is displayed;
• payment has been authorized;
• payment has been captured;
• an order number has been generated; or
• the product appears available on the Site.

Noreo Labs may review orders before acceptance.

We reserve the right to refuse, limit or cancel an order where reasonably necessary, including where:

• a product is unavailable;
• a pricing or listing error occurred;
• payment cannot be verified;
• fraud or abuse is suspected;
• an order appears inconsistent with applicable law;
• an order appears inconsistent with the stated intended use of a product;
• the purchaser does not satisfy eligibility requirements;
• a regulatory issue arises;
• shipping is unavailable to the destination; or
• the order otherwise presents a compliance, operational or legal concern.

If Noreo Labs cancels an order after payment has been collected, the applicable payment will be refunded to the extent required by law and these Terms.

Noreo Labs may impose reasonable purchase limits on individual products, purchasers, accounts, institutions, shipping addresses or payment methods.

Purchase limits may be used for:

• inventory management;
• fraud prevention;
• regulatory compliance;
• product availability;
• promotional restrictions;
• preventing abuse of discounts; or
• other legitimate business purposes.

Attempting to circumvent purchase limits may result in cancellation of affected orders or suspension of an account.

All prices displayed on the Site are in Canadian dollars unless expressly stated otherwise.

Prices may change without notice.

The price applicable to an order is the price displayed at the applicable checkout, subject to correction of obvious pricing or listing errors and any applicable taxes, shipping charges or other disclosed charges.

Noreo Labs reserves the right to correct pricing errors. If an obvious pricing error has resulted in an order being placed, we may cancel the affected order and refund amounts paid.

Nothing in this section limits any mandatory legal rights that cannot be excluded.

Applicable federal, provincial and territorial sales taxes will be charged where required by law.

The tax treatment of an order may depend on factors including:

• the purchaser's province or territory;
• the delivery address;
• the nature of the product;
• applicable tax legislation; and
• Noreo Labs's registration and collection obligations.

Noreo Labs will determine and collect taxes in accordance with applicable law.

Purchasers are responsible for any taxes, duties, fees or charges that they are legally required to pay but that are not collected by us at checkout.

Noreo Labs may accept some or all of the following payment methods:

• Visa;
• Mastercard;
• American Express;
• Interac e-Transfer;
• PayPal; and
• cryptocurrency.

Available payment methods may vary.

Noreo Labs may decline or require additional verification for a transaction where reasonably necessary to prevent fraud, unauthorized use, chargebacks or other payment-related abuse.

For e-Transfer payments, an order may not be processed until payment has been received and verified.

Cryptocurrency transactions may be subject to applicable processing requirements, confirmation requirements and transaction policies disclosed at checkout.

Purchasers agree not to initiate an unauthorized chargeback or payment dispute where the underlying transaction was authorized and the purchased products were supplied in accordance with the order.

If you believe a transaction is unauthorized, fraudulent or materially incorrect, contact Noreo Labs promptly.

Noreo Labs reserves the right to suspend accounts or refuse future transactions where there is evidence of payment abuse, fraud or repeated illegitimate chargebacks.

Nothing in this section limits legitimate rights that cannot legally be excluded.

Noreo Labs ships within Canada, subject to product availability, carrier availability, legal restrictions and applicable shipping requirements.

Shipping charges are generally paid by the purchaser unless a promotion expressly provides otherwise.

Fulfilment is domestic via Canada Post Xpresspost or another reputable institutional courier selected by us.

Shipping estimates displayed on the Site are estimates only and are not guaranteed delivery dates unless expressly stated otherwise.

Noreo Labs is not responsible for carrier delays caused by circumstances outside our reasonable control.

Purchasers are responsible for providing a complete and accurate institutional delivery address.

Before completing an order, purchasers should verify:

• institution or receiving-desk name;
• street address;
• unit or receiving dock;
• city;
• province;
• postal code;
• phone number, where required; and
• any other delivery information.

If you discover an address error, contact Noreo Labs as soon as possible.

We will make reasonable efforts to correct an address before shipment where possible but cannot guarantee that an address can be changed after fulfillment has begun.

Additional shipping charges may apply where an address correction, reshipment or other carrier intervention creates additional costs.

Once an order has been transferred to the carrier, delivery is primarily controlled by the applicable carrier.

Purchasers should monitor tracking information.

A tracking status showing "delivered" may be treated as evidence of delivery unless there is compelling evidence to the contrary.

If a package is marked delivered but cannot be located, purchasers should:

1. check the delivery location and receiving desk;
2. check with building management or authorized personnel;
3. review carrier delivery information; and
4. contact Noreo Labs promptly.

Noreo Labs may work with the carrier to investigate delivery issues.

Noreo Labs does not generally require a signature upon delivery.

Purchasers are responsible for selecting a delivery location that is reasonably secure.

Noreo Labs is not responsible for theft or loss occurring after a carrier has confirmed delivery, except where otherwise required by applicable law.

If a shipment arrives visibly damaged, contact Noreo Labs as soon as reasonably possible and provide:

• order number;
• photographs of the external packaging;
• photographs of the product;
• photographs of any damage;
• a description of the issue; and
• any relevant carrier information.

Purchasers should retain the packaging until Noreo Labs advises otherwise.

We may require the product or packaging to be returned or retained for investigation.

If an order contains the wrong product, a missing product or another fulfillment error, contact Noreo Labs promptly.

Noreo Labs may request photographs, order information, packaging information or other evidence reasonably necessary to investigate the issue.

Where we confirm a fulfillment error, we may, as appropriate:

• ship the correct product;
• replace the affected product;
• provide a refund; or
• provide another legally appropriate remedy.

Because laboratory materials may be sensitive to handling, contamination, storage conditions and tampering, sales are final.

Noreo Labs does not accept returns of products that have been opened, unsealed, used, altered or tampered with, and does not accept returns of unopened products for change of mind, surplus inventory or similar reasons.

Remedies for damaged shipments, missing items, fulfillment errors and verified quality issues are described in the Return Policy. Contact procurement promptly with the order number and photographs before the material is placed into general inventory.

Purchasers must contact us before sending anything back. Unauthorized returns may be refused and may not be eligible for reimbursement.

Where a refund is approved, we will generally return the applicable amount to the original payment method unless another method is required or agreed upon.

Refund processing times may depend on the payment provider.

Shipping charges may be non-refundable except where required by applicable law or where the refund results from a Noreo fulfillment error.

Nothing in this section limits statutory remedies that cannot legally be excluded.

Purchasers may request cancellation before an order has entered fulfillment.

Noreo Labs will make reasonable efforts to accommodate cancellation requests but cannot guarantee cancellation once an order has been processed, packed or transferred to a carrier.

If an order cannot be cancelled because fulfillment has already begun, the sale remains final except as described in the Return Policy for damaged shipments or missing documentation.

Any statutory cancellation rights that apply to a particular transaction remain unaffected.

If a purchaser believes that a product has a quality issue, the purchaser must not alter, modify, administer or otherwise use the product while the matter is being investigated.

Purchasers should contact Noreo Labs and provide:

• order number;
• product name;
• lot number;
• description of the concern;
• photographs where relevant;
• applicable COA or verification information; and
• other information reasonably requested.

Noreo Labs may request that the affected product be retained for investigation and may conduct or arrange additional testing where appropriate.

Noreo Labs may suspend sales, issue a recall, request the return of a product, provide replacement products, issue refunds, or take other appropriate action where:

• a quality issue is identified;
• testing raises a material concern;
• a supplier issue arises;
• a regulatory issue arises;
• a product is incorrectly labelled;
• a product is suspected to be contaminated;
• a product does not meet applicable specifications; or
• we otherwise reasonably determine that corrective action is necessary.

Purchasers agree to reasonably cooperate with recall or withdrawal procedures.

Promotional offers may be subject to additional terms.

Noreo Labs may impose:

• expiration dates;
• minimum purchase requirements;
• maximum redemption limits;
• product exclusions;
• purchaser or institution limits;
• geographic restrictions;
• one-use-per-account limits; or
• other reasonable conditions.

Promotions cannot generally be combined unless expressly stated.

Noreo Labs may cancel or modify a promotion where reasonably necessary due to error, fraud, abuse, technical issues or other legitimate circumstances, subject to applicable law.

Purchasers may create an institutional account where the Site permits.

Purchasers are responsible for:

• maintaining accurate account information;
• protecting account credentials;
• maintaining password confidentiality;
• monitoring account activity; and
• notifying Noreo Labs of suspected unauthorized access.

Accounts must not be shared in a manner that violates these Terms.

Noreo Labs may suspend or terminate accounts where reasonably necessary to prevent fraud, abuse, unlawful activity, regulatory violations or violations of these Terms.

You agree to use the Site only for lawful purposes.

You must not:

• interfere with Site operation;
• introduce malicious software;
• attempt unauthorized access;
• scrape or systematically copy Site content;
• circumvent security measures;
• conduct automated activity that places unreasonable load on the Site;
• impersonate another person;
• submit fraudulent information;
• interfere with another purchaser's use of the Site;
• reverse engineer Site systems where prohibited by law;
• attempt to obtain unauthorized access to accounts or systems; or
• use the Site in connection with unlawful activity.

Noreo Labs may restrict access where reasonably necessary to protect the Site, purchasers or the business.

The Site and its contents are owned by or licensed to Noreo Labs Inc. and may include:

• trademarks;
• logos;
• product names;
• photographs;
• graphics;
• designs;
• text;
• educational content;
• videos;
• software;
• website layouts;
• documentation;
• databases;
• downloadable materials; and
• other intellectual property.

Except where expressly permitted, you may not copy, reproduce, modify, distribute, sell, publish, publicly display, commercially exploit or create derivative works from Noreo Labs intellectual property without prior written authorization.

Nothing in these Terms transfers ownership of Noreo Labs intellectual property to you.

The Noreo Labs name, logos, branding, product names and related marks may constitute trademarks or other proprietary rights.

You may not use Noreo branding in a manner that:

• suggests sponsorship;
• suggests endorsement;
• creates confusion;
• misrepresents affiliation;
• damages the brand; or
• otherwise violates applicable law.

Purchasers may have the opportunity to submit:

• reviews;
• testimonials;
• photographs;
• videos;
• comments;
• feedback;
• questions; or
• other content.

By submitting content, you represent that:

1. you own or have the necessary rights to submit it;
2. it does not infringe another person's rights;
3. it is truthful and not misleading;
4. it does not contain unlawful or defamatory material;
5. it does not contain another person's private information without authorization; and
6. it complies with applicable law.

By submitting content, you grant Noreo Labs a non-exclusive, worldwide, royalty-free licence to reproduce, display, publish, adapt, distribute and otherwise use that content for legitimate business purposes, including displaying reviews on the Site, subject to applicable law.

Noreo Labs may moderate, remove or decline to publish content at its discretion and does not guarantee that purchaser reviews represent the views of Noreo Labs.

Noreo Labs may use independent review platforms or other third-party services.

Reviews appearing on third-party platforms are subject to the applicable platform's terms and policies.

Noreo Labs does not guarantee the accuracy, availability or permanence of third-party reviews.

The Site may integrate third-party services, including:

• payment processors;
• shipping carriers;
• analytics providers;
• email providers;
• review platforms;
• fraud-prevention services;
• hosting providers; and
• other technology providers.

Third-party services may have their own terms and privacy policies.

Noreo Labs is not responsible for the independent actions, availability or policies of third-party service providers except where required by law.

Noreo Labs's collection, use, disclosure and handling of personal information is governed by its separate Privacy Policy.

The Privacy Policy forms part of the overall legal framework governing use of the Site but is a separate document from these Terms.

By using the Site, you acknowledge that you should review the Privacy Policy before submitting personal information.

Noreo Labs may use cookies, pixels, tags, analytics technologies and similar tools to:

• operate the Site;
• remember preferences;
• understand Site usage;
• improve performance;
• detect fraud;
• understand institutional journeys; and
• provide relevant communications where legally permitted.

Additional information will be provided in the Privacy Policy and applicable cookie disclosures.

Noreo Labs may send transactional communications necessary to process or administer an order, including:

• order confirmations;
• payment notifications;
• shipping notifications;
• delivery notifications;
• account notices;
• product or service notices; and
• other operational communications.

Where Noreo Labs sends commercial electronic messages, including promotional email, Noreo Labs intends to comply with applicable Canadian anti-spam requirements.

Commercial marketing communications will include appropriate identification and unsubscribe mechanisms where required. Consent records may be retained as required for compliance.

Canadian anti-spam law generally requires consent for commercial electronic messages, subject to specific statutory exceptions.

When you interact with Noreo Labs electronically, you consent to receiving electronic communications necessary to conduct transactions and administer your account.

These communications may include emails, electronic receipts, order confirmations, policy notices and other transaction-related information.

You agree that electronic records may satisfy written communication requirements to the extent permitted by applicable law.

To the maximum extent permitted by law, the Site and its informational content are provided on an "as available" and "as is" basis.

Noreo Labs does not warrant that:

• the Site will always be available;
• the Site will be error-free;
• information will always be complete or current;
• every product will remain available;
• third-party services will always function;
• the Site will be free from technical issues; or
• the Site will satisfy every user's particular requirements.

Nothing in these Terms excludes a warranty, guarantee, condition, representation or statutory right that cannot legally be excluded.

Noreo Labs does not guarantee that any product will produce a particular experimental, analytical, scientific or research result.

Research outcomes depend on numerous variables, including experimental design, methodology, laboratory conditions, storage, handling, equipment, personnel and other factors outside our control.

Unless a product is expressly authorized and marketed by Noreo Labs for such use in accordance with applicable Canadian law, products sold as research products are not intended for:

• use in humans;
• human administration;
• veterinary administration;
• self-medication;
• diagnosis of disease;
• prevention of disease;
• replacement of prescription medication; or
• other unauthorized therapeutic purposes.

Purchasers must not rely on product descriptions, scientific information, reviews or other Site content as authorization for human or veterinary use.

To the maximum extent permitted by applicable law, Noreo Labs Inc. and its owners, directors, officers, employees, contractors, affiliates, suppliers and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from or relating to:

• use of the Site;
• inability to use the Site;
• use or misuse of products;
• research outcomes;
• loss of data;
• loss of profits;
• business interruption;
• unauthorized use;
• third-party services;
• shipping delays; or
• other matters arising from the relationship between the purchaser and Noreo Labs.

To the maximum extent permitted by law, Noreo Labs's aggregate liability relating to a particular order will not exceed the amount actually paid to Noreo Labs for the affected product or order giving rise to the claim.

This limitation does not apply to liability that cannot legally be limited or excluded, including rights or remedies that applicable legislation makes mandatory.

To the maximum extent permitted by law, you agree to indemnify and hold harmless Noreo Labs Inc. and its owners, directors, officers, employees, contractors, affiliates and service providers from claims, losses, liabilities, damages, costs and expenses arising from:

• your breach of these Terms;
• unlawful use of products;
• misuse of products;
• violation of applicable law;
• fraudulent activity;
• infringement of another person's intellectual property or rights;
• unauthorized use of your account; or
• content you submit to Noreo Labs.

This section does not require you to indemnify Noreo Labs for losses caused by Noreo Labs's own conduct where applicable law prohibits such an indemnity.

Noreo Labs will not be responsible for delays or failures caused by circumstances reasonably outside its control, including:

• natural disasters;
• severe weather;
• carrier disruptions;
• labour disruptions;
• supply-chain interruptions;
• supplier failures;
• government action;
• regulatory action;
• changes in law;
• cyber incidents;
• infrastructure failures;
• telecommunications failures;
• payment processor disruptions;
• epidemics or pandemics; or
• other circumstances beyond our reasonable control.

Noreo Labs will make reasonable efforts to resume affected Services when circumstances permit.

Noreo Labs may suspend or terminate access to the Site or an account where reasonably necessary due to:

• breach of these Terms;
• fraud;
• suspected unlawful activity;
• payment abuse;
• regulatory concerns;
• misuse of products;
• abuse of promotions;
• threats to Site security; or
• other legitimate business or legal reasons.

Termination does not affect rights or obligations that arose before termination.

Noreo Labs may update these Terms from time to time.

When material changes are made, we may provide notice through the Site, email or another reasonable method where required.

The updated Terms will become effective on the date stated in the updated Terms, subject to applicable law.

The Terms applicable to an existing order will be determined in accordance with applicable law and the circumstances of that order.

Noreo Labs may modify, discontinue or suspend products, Site features, pricing, availability or Services at any time, subject to applicable legal obligations and existing accepted orders.

Noreo Labs does not guarantee that any product will remain available indefinitely.

These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict-of-law principles.

Nothing in these Terms is intended to deprive a purchaser of mandatory protections or rights that apply under the laws of the province or territory in which the purchaser resides or is established.

If a dispute arises, Noreo Labs encourages the purchaser to first contact us directly so that the matter can be reviewed and, where reasonably possible, resolved informally.

A purchaser should provide:

• name and institution;
• order number;
• description of the issue;
• relevant documentation; and
• requested resolution.

The parties should make reasonable efforts to resolve disputes informally before commencing formal proceedings, except where urgent relief or a statutory right requires otherwise.

Nothing in this section prevents a purchaser from exercising a mandatory statutory right, contacting a governmental authority, or commencing proceedings where legally permitted.

These Terms are intended to operate alongside applicable Canadian legislation.

Where applicable law provides rights, warranties, cancellation rights, remedies or protections that cannot legally be excluded or waived, those rights remain available.

If any provision of these Terms conflicts with a mandatory provision of applicable law, the mandatory legal provision will prevail to the extent of the conflict.

Where required by applicable law, Noreo Labs will provide purchasers with an opportunity to:

1. review the applicable agreement;
2. correct errors before submitting an order;
3. accept or decline the agreement; and
4. receive a copy of the applicable agreement electronically.

Purchasers should review their order carefully before completing checkout.
